This document applies to Planyway for Jira Data Center. For other Planyway products, see Terms of use.

These Planyway Terms of Use explain the relationship between Rsoftware LLP (“Rsoftware”) a company registered in 5 Dostyk St., Astana, 020000, Kazakhstan; and you when you access and use Planyway for Jira Data Center.

Throughout these Terms of Use, when we write “Planyway” or «we» or «us», we’re referring to Rsoftware LLP (“Rsoftware”). You agree to be bound by these Terms of Use by using the Planyway app for Jira Data Center distributed through the Atlassian Marketplace (“Service”) and planyway.com (“Site”).

THESE TERMS, TOGETHER WITH OUR PRIVACY POLICY AND COOKIES POLICY, FORM AN AGREEMENT BETWEEN YOU AND RSOFTWARE. BY USING THE PLANYWAY SERVICES, YOU REPRESENT TO US THAT YOU ARE LEGALLY COMPETENT TO ENTER INTO THIS AGREEMENT. IF YOU ARE USING THE PLANYWAY SERVICES ON BEHALF OF YOUR EMPLOYER, YOUR ACCEPTANCE OF THESE TERMS IS DEEMED AN AGREEMENT BETWEEN YOUR EMPLOYER AND RSOFTWARE AND YOU REPRESENT AND WARRANT THAT YOU HAVE AUTHORITY TO BIND YOUR EMPLOYER TO THESE TERMS. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, YOU ARE PROHIBITED FROM USING OR ACCESSING THE SERVICE.

Description of Service

Planyway for Jira Data Center is an app installed on your organization’s self-managed Jira Data Center. It adds timeline, workload, calendar, and time tracking capabilities to Jira. Jira project and issue content and the app data are stored in your organization’s infrastructure. Usage and diagnostic data is shared with Planyway only if your Jira system administrator enables “Share usage and diagnostic data”. See the Privacy Policy.

Your organization is responsible for operating, securing and backing up its Jira Data Center instance. Your use of Jira Data Center and of the Atlassian Marketplace is also governed by the agreements between you and Atlassian. These Terms of Use do not change those agreements.

General Conditions

  1. Your use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis.
  2. Support for the Service is available in English via email support@planyway.com and the in-app chat.
  3. You understand that Planyway uses third party vendors for analytics, diagnostics, email and customer support.
  4. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service.
  5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Planyway.
  6. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Planyway customer, employee, member, or officer will result in immediate termination of support.
  7. You must not transmit any worms or viruses or any code of a destructive nature.
  8. Planyway does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, and (iv) any errors in the Service will be corrected.
  9. You expressly understand and agree that Planyway shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Planyway has been advised of the possibility of such damages).
  10. The failure of Planyway to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision.

Security

Planyway shall process all personal data in the strictest confidentiality and implement the appropriate technical and organizational measures as required by applicable regulations. More information about our security policies can be found in Security.

Payment, Refunds, Upgrading and Downgrading Terms

Paid licenses for Planyway for Jira Data Center are purchased through the Atlassian Marketplace. Pricing, billing, renewals, refunds, upgrades and downgrades are handled by Atlassian under the Atlassian Marketplace terms. Planyway does not receive or store your payment card details.

Cancellation and Termination

You may stop using the Service at any time by uninstalling the app from your Jira instance. Rsoftware, in its sole discretion, has the right to suspend or terminate the Service for any reason at any time, subject to the Atlassian Marketplace terms.

Modifications to the Service and Prices

  1. Planyway reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  2. Prices are published on the Atlassian Marketplace and are subject to change.
  3. Planyway shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

  1. You are strictly prohibited from, and agree that you will not, adapt, edit, change, modify, transform, publish, republish, distribute, or redistribute the Service or any elements, portions, or parts thereof without Rsoftware prior written consent.
  2. The look and feel of the Service is copyright ©RSoft. All rights reserved.
  3. You retain all rights to the content you create in Jira. Planyway does not claim ownership of your Jira data.

Interruption of service

Rsoftware may, from time to time, need to interrupt the Service for maintenance and other operational reasons. The availability of the Service also depends on your organization’s Jira Data Center instance, which is operated by your organization.

Disputes

If there is any dispute about or involving Rsoftware or the Service, you agree that the dispute shall be governed by the Kazakhstan laws, without regard to conflict of law provisions and you agree to the exclusive Kazakhstan personal jurisdiction. These Terms of Use and any and all other online policies and agreements promulgated by Rsoftware, including without limitation the Data Processing Addendum (“DPA”), constitute the entire agreement between Rsoftware and you with respect to the subject matter hereof. If a court of competent jurisdiction determines that any provision of these Terms of Use is invalid, unlawful, void or unenforceable, that provision shall be modified or severed to the maximum extent permitted by law; all other provisions shall remain valid.

Responsibility for Content

Rsoftware LLP accepts no responsibility for texts, content, images, data and/or information created by you or other users in Jira.

Changes to Terms of Use

Rsoftware reserves the right to change or revise these Terms of Use at any time by posting the revised Terms of Use on planyway.com. By using the Service you are agreeing to be bound by the then current version of these Terms of Use.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Kazakhstan and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location, except in cases related to the use of GDPR and CCPA.
